(1) The Tribal Council of the Samish Indian Nation has the inherent sovereign and constitutional power to control and manage the economic affairs of the Tribe, to establish and operate such commercial enterprises as it may deem proper, and to regulate those who transact business within territories under the jurisdiction of the Samish Indian Nation.

(2) It is declared that the conduct of commerce within said territories is vital to the economic security, political integrity, and general health and welfare of the Tribe and its members. Therefore, to protect these interests of the Tribe, the Tribal Council adopts this corporations ordinance.

(3) Incorporation under the laws of the Samish Indian Nation constitutes a consensual relationship between the Samish Indian Nation and any businesses established pursuant to this chapter, including but not limited to officers, employees, agents, consultants, and contractors of such businesses. Accordingly, all such businesses which incorporate under the laws of the Samish Indian Nation pursuant to this chapter shall in so doing expressly consent to the full jurisdiction of the Tribe.

(4) The Tribal Council hereby expressly delegates to the Tribe’s Finance Department the authority necessary to carry out the provisions of this chapter, including but not limited to the authority to establish forms and certificates required under this chapter, to administer such forms and certificates and to maintain a storage system for such completed forms, certificates and associated documents provided for under this chapter; the authority to impose and collect fees pursuant to this chapter; the authority to approve, reject, amend, or restate articles of incorporation pursuant to this chapter; the authority to issue notices and publication pursuant to this chapter; and the authority to accept complaints of noncompliance with this chapter and to refer such complaints to the tribal attorneys or to the Tribal Court.
