(1) A document required or permitted to be filed under this chapter shall be submitted by delivering the document to the Finance Department together with the fees and accompanying documents required by law. The Finance Department may prescribe the manner in which it receives documents and fees. The Legal Department may also establish a procedure for accepting delivery of a document submitted under this subsection.

(2) If a document submitted under subsection (1) of this section substantially conforms to the requirements of this chapter, the Finance Department and/or Legal Department shall endorse upon it the word “filed” with their official title and the date of receipt and of filing and shall file in their office.

(3) The Finance or Legal Department shall return a copy of a document filed under subsection (2) of this section to the person who submitted it for filing. The Finance Department shall mark the filing date on the copy before returning it or, if the document was submitted electronically or over the internet, may provide proof of the filing date to the person who submitted the document for filing in another manner determined by the Finance Department.

(4) The records and files of the Finance Department relating to limited liability companies shall be open to reasonable inspection by the public upon notice and request in a manner determined by the Finance Department.

(5) The Finance or Legal Department may make copies of any documents filed under this chapter and may destroy the originals of the copied documents. A copy certified by the Finance or Legal Department is considered an original for all purposes and is admissible in evidence in like manner as an original.

(6) A document filed under subsection (2) of this section is effective at the time it is endorsed unless a subsequent effective time is set forth in the document that is not later than 90 days after the date of delivery.

(7) The Finance or Legal Department may require that a person submit a document described in subsection (1) of this section on a form prescribed by the Finance or Legal Department.

(8) The Finance Department may set filing fees and make such fees known to any person prior to filing documents under this chapter. [Res. 2023-10-019 § 1, 2023.]
