Subject to the limitations provided in this chapter, any other provision of tribal law, or its articles of organization, a limited liability company has all the powers necessary or convenient to effect any purpose for which the company is formed, including all powers granted to corporations in the Corporations Code, STC Chapter 6.20 et seq., including consent to be sued, complain and defend in its name; provided, however, that if a limited liability company is tribally owned, or wholly owned by another entity which itself is wholly owned by the Tribe, it shall be entitled to and shall enjoy the Tribe’s sovereign immunity from suit unless the operating agreement provides otherwise.
